These Delhivery Maps Terms of Use ("Additional Terms") govern access to and use of the Delhivery Maps Services, APIs, data outputs, documentation and related offerings made available by Delhivery Limited and/or its affiliates ("Delhivery", "we", "us" or "our") through the Delhivery's OS1 platform or any Delhivery-controlled website, platform, subdomain, interface or system ("Platforms").
It is hereby clarified that your use and access to the Platform continue to be governed by the OS1 T&Cs and Delhivery T&Cs ("Original Terms"), as applicable and in force prior to the addition of the Delhivery Maps Services, and the Additional Terms as set out herein are in addition to the Original Terms only to the extent that you access and use the Delhivery Maps Services. The Original Terms and the Additional Terms together shall collectively be referred to as the "Terms". Any accessing, browsing, or otherwise using of the Platform indicates your agreement to the Terms, our privacy policy and any other policies or guidelines as may be applicable.
1. Definitions
For the purposes of these Terms, unless the context otherwise requires:
- "API" means any application programming interface, endpoint, service, protocol, tool, integration layer, software interface, or related technical functionality made available by Delhivery for accessing the Delhivery Maps Services.
- "API Credentials" means API keys, tokens, secrets, authentication credentials, certificates, passwords or other credentials issued or enabled by Delhivery for accessing the Services.
- "API Response" means any output, result, response, data element, coordinate, route, direction, distance, duration, address validation result, suggestion, tile, rendered output, metadata or other information generated or returned by the Services in response to a Customer request.
- "Applicable Law" means all applicable laws, statutes, rules, regulations, ordinances, notifications, orders, judgments, guidelines, directions, codes, policies and regulatory requirements, including those relating to data protection, privacy, information technology, intellectual property, export controls, anti-corruption, consumer protection, telecommunications, mapping, geospatial data, logistics, transport and location services.
- "Authorised Users" means the Customer's employees, officers, personnel, agents or other representatives who are authorised by the Customer to access or use the Services.
- "Customer", "you" or "your" means the entity that enters into an Enterprise Agreement with Delhivery or otherwise accesses or uses the Delhivery Maps Services, including prospective customers and enterprise customers and their Authorised Users.
- "Customer Application" means any software, system, application, platform, website, internal tool, workflow, product, dashboard, agent, agentic workflow, artificial intelligence system, automated process or other technology owned, operated or controlled by the Customer into which the Delhivery Maps Services are integrated or through which the Services are accessed or used.
- "Customer Data" means data, information, queries, or other materials submitted or transmitted by or on behalf of the Customer to Delhivery through the Services.
- "Delhivery Data" means all datasets, map data, geospatial data, logistics data, routing data, address intelligence, operational intelligence, proprietary datasets, derived data, analytics, metadata, service data, platform data and other data owned, licensed, developed, compiled, generated, maintained or controlled by Delhivery or its licensors, excluding Customer Data.
- "Delhivery Maps Services" or "Services" means Delhivery's enterprise maps, geospatial, location intelligence, routing, logistics, map tile, geocoding, reverse geocoding, address validation, autosuggest, matrix and related API-based services made available as part of the Platforms, together with associated developer tools, Model Context Protocol (MCP) Tools, API credentials, integrations, software components, utilities, updates and support services made available by Delhivery through the Platforms.
- "Enterprise Agreement" means the master services agreement, order form, statement of work, or other written agreement executed between Delhivery and the Customer.
- "Intellectual Property Rights" means all intellectual property and proprietary rights, whether registered or unregistered, including copyrights, database rights, patents, trade marks, service marks, trade names, domain names, design rights, trade secrets, know-how, confidential information, moral rights, rights in software, rights in data and datasets, and all similar rights anywhere in the world.
- "Limited Temporary Caching" means temporary and incidental storage of API Responses solely to support short-term technical performance, latency reduction or operational continuity in connection with permitted use of the Services and not for offline use, long-term retention, replication or database creation.
- "Map Tiles" means map tile outputs, rendered tiles, visual layers, raster or vector tile outputs, or other visual map outputs made available through the Delhivery Maps Services.
- "OS1" means Delhivery's OS1 platform.
- "Third-Party Data" means any data, content, datasets or materials obtained from, derived from, or licensed by third parties, which may be used in, incorporated into, or referenced by the Services.
- "Usage Data" means technical, operational and usage-related information generated from the Customer's use of the Services.
2. Services covered
Through the Delhivery Maps Services we intend to provide the following services:
- Location Search: Geocoding API, Reverse Geocoding, Address Validation, and Autosuggest;
- Routing & Logistics: Routing API and Distance Matrix API;
- Visualization: Map Tiles API.
- Developer Tools and Integrations: MCP tools, developer utilities, integrations and other tooling made available by Delhivery.
3. Access to APIs and permitted use
- Access to commercial use of Delhivery Maps Services may be subject to execution of an applicable Enterprise Agreement, completion of onboarding requirements, issuance of API Credentials by Delhivery, and compliance with these Terms.
- Subject to these Terms and the applicable Enterprise Agreement, Delhivery grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the applicable subscription or service term to access and use the Delhivery Maps APIs solely for the Customer's internal business purposes and permitted integration with Customer Applications.
- Pricing may be based on custom plans, usage, concurrency, API call volumes, service scope, technical configuration, support requirements or other commercial parameters agreed between Delhivery and the Customer under the applicable Enterprise Agreement.
- API Credentials:
- Delhivery may issue API Credentials to the Customer for accessing the Services. API Credentials are confidential and may be used only by you or your Authorised Users for permitted purposes.
- The Customer shall maintain the confidentiality and security of all API Credentials and shall not disclose, share, publish, embed in publicly accessible code, distribute, sell, transfer or otherwise make API Credentials available to any unauthorised person.
- The Customer is responsible for all access to and use of the Services through the API Credentials, whether authorised or unauthorised, except to the extent caused solely by Delhivery's breach of these Terms.
- The Customer shall promptly notify Delhivery on becoming aware of any actual or suspected unauthorised access, misuse, disclosure, compromise or loss of API Credentials.
- Delhivery may monitor, log, and analyse API usage, including through OS1, for purposes of security, billing, service improvement, performance management, compliance and support.
- Delhivery may suspend, restrict, modify or disable access to specific APIs, features or functionality where reasonably necessary for security, legal compliance, abuse prevention, maintenance, platform stability, operational integrity or protection of the Services.
- Delhivery may modify, update, suspend, discontinue or change any aspect of the Services and may implement usage limits, throttling, rate limits, concurrency restrictions or other technical controls in connection with the Services.
- The Customer may use the Delhivery Maps Services solely for lawful internal business purposes and for integration into Customer Applications in accordance with these Terms and the applicable Enterprise Agreement.
- The Customer may display API Responses, Map Tiles or other outputs within Customer Applications only as permitted under the applicable Enterprise Agreement and subject to applicable attribution requirements.
4. Restrictions
The Customer shall not:
- access or use the Services except as expressly permitted under these Terms and the applicable Enterprise Agreement;
- sell, resell, sublicense, distribute, or otherwise commercially exploit the Services, API Credentials, or Delhivery Data except as expressly permitted in writing by Delhivery;
- extract, scrape, download, aggregate, compile or otherwise use API Responses, map outputs or other data from the Services to create or maintain any database, dataset, mapping product or competing service;
- use the Services, API Responses or outputs generated through the Services to create, train, fine-tune or improve any machine learning models, artificial intelligence models, mapping models, routing models, geospatial datasets, address datasets or competing products or services;
- permanently store, locally host or retain API Responses or map outputs except for Limited Temporary Caching strictly necessary for permitted technical performance;
- enable offline use of the Services or create local repositories of map tiles, routing data or API outputs;
- reverse engineer, decompile, disassemble or otherwise attempt to derive the underlying source code, software, algorithms, datasets or proprietary systems used by the Services;
- engage in bulk extraction, systematic querying, automated harvesting or other access patterns intended to collect, reconstruct, replicate or derive underlying datasets, routing intelligence or competing services from the Services;
- remove, alter or obscure any attribution notices, copyright notices or proprietary notices included with the Services or API outputs;
- use the Services in violation of Applicable Law, third-party rights, open-source license obligations, privacy obligations, data protection requirements or contractual restrictions;
- use the Services for unlawful tracking, unlawful surveillance, profiling, discrimination, harassment, stalking, or any use that infringes privacy, civil liberties or personal rights;
- interfere with, disrupt, overload, degrade, impair, circumvent, bypass or compromise the Services, OS1 platform, Delhivery systems, security controls or monitoring systems;
- circumvent usage restrictions, rate limits, access controls, authentication requirements or other technical or contractual limitations applicable to the Services;
- introduce viruses, malware, malicious code, harmful components or security vulnerabilities into the Services or Delhivery systems;
- use the Services in a manner that could damage Delhivery's reputation, infrastructure, security, business, licensors, third-party providers or other customers.
5. Intellectual property and ownership
- Delhivery and its licensors own and retain all rights, title and interest, including all Intellectual Property Rights, in and to the Services, APIs, Delhivery Data, software, datasets, map outputs, routing systems, algorithms, infrastructure, technology, operational intelligence, traffic insights, logistics intelligence, routing learnings, geospatial intelligence, Usage Data and all related materials, improvements, enhancements, modifications and derivative works thereof. Nothing in these Terms transfers any ownership rights in the Services or Delhivery's Intellectual Property Rights to the Customer.
- The Customer retains ownership of Customer Data. The Customer grants Delhivery and its affiliates a non-exclusive, worldwide, royalty-free license to process, transmit, use, analyse, and store Customer Data to provide, secure, support, improve and operate the Services and to perform obligations under the applicable Enterprise Agreement.
- Delhivery may collect and use Usage Data and aggregated or de-identified information derived from use of the Services for service operation, monitoring, analytics, billing, security, abuse prevention and improvement of the Services, provided that such information does not identify the Customer. All operational intelligence, routing learnings, traffic insights, logistics learnings, geospatial intelligence and platform improvements generated through the operation of the Services shall be exclusively owned by Delhivery.
- If the Customer provides suggestions, comments, ideas, feedback, improvement requests or recommendations relating to the Services ("Feedback"), Delhivery may use, exploit, incorporate, and commercialise such Feedback without restriction, obligation or compensation to the Customer.
- The Customer shall not use Delhivery's name, trademarks, logos, service marks, trade names, branding, or marketing materials without Delhivery's prior written consent, except to the limited extent expressly permitted under the applicable Enterprise Agreement.
6. Customer responsibilities
- The Customer is solely responsible for all decisions, actions and outputs resulting from its use of the Services or reliance on API responses. The Customer shall remain fully responsible for all actions, requests, outputs and activities performed through any Customer Application, agent, MCP tool, automated workflow or artificial intelligence system accessing or using the Services on the Customer's behalf.
- The Customer shall ensure that all Authorised Users comply with these Terms, and the applicable Enterprise Agreement. The Customer shall be responsible for obtaining and maintaining all rights, consents, approvals and permissions required for the use of the Services and Customer Data.
- The Customer shall implement reasonable security measures to protect API Credentials, Customer Applications and Customer Data. The Customer shall promptly notify Delhivery of any actual or suspected misuse, security incident, unauthorised access, data breach, credential compromise, breach of these Terms or violation of Applicable Law relating to the Services.
